Background
Finelite, a manufacturer of LED lighting products, purchased chips from Samsung under a 2012 Agreement. This agreement included a credit application and a contract of sale that limited Samsung’s indemnification obligations to the jurisdiction where title passed, which was Hong Kong. Later, Seoul Semiconductor sued Finelite for patent infringement in the United States. Finelite sought indemnification from Samsung, arguing that subsequent purchase orders imposed a broader indemnity obligation. Samsung moved for summary judgment, asserting the 2012 Agreement’s limited indemnification clause controlled. The district court granted Samsung’s motion, ruling the agreement unambiguous and fully incorporated the contract of sale.
The court’s reasoning
The court applied California law, stating that contract language governs interpretation if clear and explicit. The 2012 Agreement used continuous pagination and was structured as a single document, supporting the inference that the parties intended it to be read as a unified whole. The disputed statement on page two referenced ‘terms of sale (attached),’ which the parties agreed were the terms on pages four and five. The court found Finelite’s argument that this reference incorporated only specific terms regarding service charges and attorney fees was incorrect. The statement was best read as a list of obligations, not a grant followed by limitations. Furthermore, Finelite’s interpretation would render substantial portions of the agreement superfluous, which is impermissible under California law. The court also rejected reliance on extrinsic evidence regarding later purchase orders, noting that the parol evidence rule prohibits using such evidence to contradict clear written terms.
What it means going forward
The ruling reinforces that courts will strictly enforce the plain language of integrated commercial contracts and will not allow parties to use subsequent conduct or extrinsic evidence to rewrite clear indemnification limitations.
